The preservation of assets of the estate in an insolvent liquidation has been described as the “Preservation Rationale”. It is also vital to reconstitute the estate for the purpose of distribution of the assets to the creditors. This has been described as the “Distribution Rationale” (DGJ v Ocean Tankers (Pte) Ltd (in liquidation) and another appeal [2024] 2 SLR 790 at [143] and [148]). Where the assets are disposed of at an undervalue when the debtor is either insolvent or has become insolvent as a result, the estate is reduced and the Preservation and Distribution Rationales are thereby undermined. The power to revisit such transactions and claw back the assets disposed of is therefore crucial in ensuring that the creditors are not disenfranchised.
