Constitution of Board
(1)
The Board shall consist of a Chairman, a Deputy Chairman and at least 6 other Trustees to be appointed by the Minister.
(2)
All letters of appointment to the Trustees of the Board shall issue from the Minister and the Minister may revoke any appointment at any time without assigning any reason therefor.
(3)
The Chairman or in his absence the Deputy Chairman shall preside at all meetings of the Board and has the right to vote on any question coming before or arising at any meeting of the Board.
(4)
In the absence of the Chairman and the Deputy Chairman, such Trustee as the Trustees present may select shall act as Chairman.
(5)
The Trustees of the Board hold office for a period of 3 years from the date of their respective appointments or for such lesser period as the Minister may think fit and are eligible for reappointment on completion of that period.
(6)
If a vacancy occurs in the membership of the Board by death, resignation, revocation of an appointment under subsection (2) or for any other cause, the Minister shall appoint a person to fill the vacancy and any person so appointed shall hold office so long as the Trustee in whose place he is appointed would have held office.
(7)
The quorum at all meetings of the Board is 4 Trustees present and no business shall be transacted unless a quorum is present.
(8)
All questions coming before or arising at any meeting of the Board shall be decided by a majority of Trustees present and voting thereon at that meeting, and in case of an equality of votes the person presiding at the meeting has a second or casting vote.
(9)
The Board shall not be precluded from holding any meeting or acting in any matter merely by reason of any vacancy in its membership.
