Meetings of Council
(1)
Meetings of the Council may be held —
at such times and in such manner as the Council may determine; and
as often as may be necessary.
(1A)
A member of the Council may participate in a meeting of the Council through such means of communication (such as over the telephone or through a live audio, live video or live television link) as the Council may determine.
(1B)
A member of the Council who participates in a meeting of the Council in accordance with subsection (1A) is deemed to be present at the meeting.
(2)
Five members present at any meeting of the Council constitute a quorum for the transaction of any business.
(3)
A decision of the majority of the members of the Council present and voting at any meeting of the Council is deemed to be a decision of the Council.
(4)
The chairperson or the person lawfully acting as chairperson at any meeting of the Council has an original as well as a casting vote.
(5)
Subject to any rules of the Society, the Council may regulate its own procedure and in particular the holding of meetings, the notice to be given of meetings, the proceedings at meetings, the keeping of minutes and the custody, production and inspection of those minutes.
