Section 20

Power of court to order observance or enforcement of rules or listing rules of a securities exchange

(1)

Where any person who is under an obligation to comply with, observe, enforce or give effect to the rules or listing rules of a securities exchange fails to comply with, observe, enforce or give effect to any of those rules or listing rules, as the case may be, the High Court may, on the application of the Authority, a securities exchange or a person aggrieved by the failure, and after giving to the person against whom the order is sought an opportunity of being heard, make an order giving directions to that person concerning the compliance with, observance or enforcement of, or the giving effect to, those rules or listing rules.

(2)

For the purposes of subsection (1), a person (referred to in this subsection as the relevant person), being —

(a)

a body corporate that has been admitted to the official list of a securities exchange and has not been removed from that official list; or

(b)

a person associated with a body corporate that has been admitted to the official list of a securities exchange and has not been removed from that official list,shall be deemed to be under an obligation to comply with, observe and give effect to the listing rules of that securities exchange to the extent to which those rules purport to apply in relation to the relevant person.
