Section 137C

Corporation to keep register of substantial shareholders

(1)

A corporation must keep a register in which it must immediately enter —

(a)

the names of persons from whom it has received a notice under section 135; and

(b)

against each name so entered, the information given in the notice and, where it receives a notice under section 136 or 137, the information given in that notice.

The corporation must keep the register at its registered office or, if the corporation does not have a registered office, at its principal place of business in Singapore and the register must be open for inspection by a member of the corporation without charge, and by any other person on payment for each inspection of a sum of $2 or such lesser sum as the corporation requires.

A person may request the corporation to provide the person with a copy of the register or any part of the register on payment in advance of a sum of $1 or such lesser sum as the corporation requires for every page or part thereof required to be copied, and the corporation must send the copy to that person within 14 days, or such longer period as the Authority may allow in any particular case, after the day on which the corporation received the request.

The Authority may at any time in writing require the corporation to provide it with a copy of the register or any part of the register and the corporation must send the copy to the Authority within 7 days after the day on which the corporation received the requirement.

(5)

Any corporation which fails to comply with subsection (1), (2), (3) or (4) shall be guilty of an offence and shall be liable on conviction to a fine not exceeding $50,000 and, in the case of a continuing offence, to a further fine not exceeding $5,000 for every day or part of a day during which the offence continues after conviction.

A corporation is not, by reason of anything done under this Subdivision —

(a)

to be taken for any purpose of the Companies Act 1967 to have notice of; or

(b)

to be put upon inquiry as to,a right of a person to or in relation to a share in the corporation.
