Section 239A
Authority may disapply this Division to certain offers
(1)
Despite any provision to the contrary in this Division, where —
an offer of securities or securities‑based derivatives contracts is one to which (but for this section) both this Division and Division 2 apply; and
the Authority has by order in the Gazette declared that this Division does not apply to that offer or a class of offers to which that offer belongs,then this Division does not apply to that offer.
(2)
This Division does not apply to an offer of securities or securities‑based derivatives contracts being units or derivatives of units in a business trust, where —
the business trust is also a collective investment scheme that has been authorised under section 286 or recognised under section 287; or
the business trust is also a collective investment scheme and the offer is made in reliance on an exemption under Subdivision (4) of Division 2.
