Common seal of management corporation
(1)
The common seal of a management corporation must be kept —
where the management corporation is constituted by one subsidiary proprietor — by that subsidiary proprietor; or
where the management corporation is constituted by 2 or more subsidiary proprietors — by such subsidiary proprietor or member of the council as the management corporation determines or, in the absence of any such determination, by the secretary of the council.
(2)
The common seal of a management corporation may only be affixed to an instrument or a document in the presence of —
where the management corporation is constituted by one or 2 subsidiary proprietors — that subsidiary proprietor or those subsidiary proprietors, as the case may be; or
where the management corporation is constituted by 2 or more subsidiary proprietors — such 2 persons, being subsidiary proprietors or members of the council as the management corporation determines or, in the absence of such determination, the secretary and any other member of the council,who must also sign the instrument or document to which the seal is affixed.
