Section 65

Registration and copies of certain resolutions

(1)

Except as otherwise expressly provided in this Act, the trustee‑manager of a registered business trust must lodge with the Authority a copy of —

(a)

every special resolution; and

(b)

every resolution passed by any class of unitholders of the registered business trust whether agreed to by all the unitholders of that class or not, within one month after the passing or making of every such resolution.

(2)

The trustee‑manager of a registered business trust must, at the request of any unitholder of the registered business trust and without charge, forward to the unitholder a copy of every resolution to which this section applies.

(3)

Any trustee‑manager of a registered business trust which contravenes subsection (1) or (2) shall be guilty of an offence and shall be liable on conviction to a fine not exceeding $10,000 and, in the case of a continuing offence, to a further fine not exceeding $1,000 for every day or part of a day during which the offence continues after conviction.
