Clause 112

Endorsement of certificate of registration on debentures

(1)

The company shall cause to be endorsed on every debenture forming one of a series of debentures, or certificate of debenture stock which is issued by the company and the payment of which is secured by a charge so registered —

(a)

a copy of the certificate of registration; or

(b)

a statement that the registration has been effected and the date of registration.[U.K.s. 99.][Aust. s. 104.]

(2)

Subsection (1) of this section shall not apply to any debenture or certificate of debenture stock which has been issued by the company before the charge was registered.

(3)

Every person who knowingly and wilfully authorizes or permits the delivery of any debenture or certificate of debenture stock which is not endorsed as required by this section shall be guilty of an offence under this Act and shall be liable on conviction to a fine not exceeding five hundred dollars.
