Clause 161

Where, by virtue of paragraph (b) of subsection (1) of section 159, the register of members is kept at the office of some person other than the company, and by reason of any default of his the company fails to comply with subsection (1) or subsection (2) of that section or with section 160 or with any requirements of this Act as to the production of the register, that other person shall be liable to the same penalties as if he were an officer of the company who was in default, and the power of the Court under section 362 shall extend to the making of orders against that other person and his officers and servants.
