Quorum
(1)
No business, save that of adjournment, shall be transacted and no action or resolution of the Board shall be valid unless at least four members or one-third of the members whichever is the greater shall be present at the meeting.
(2)
The Board may, subject to the provisions of subsection (1) of this section, act notwithstanding any vacancy in its membership.
