Clause 13

Constitution of the Board

(1)

The Board shall consist of the following members: —

(a)

a President, two Vice-Presidents, a General Secretary, a Treasurer and seven other members, who shall all be elected from among the member organisations of the Council at the Annual General Meeting;

(b)

two members from the Associates of the Council elected as provided in section 7 of this Act; and

(c)

two ex-officio members as provided in section 8 of this Act.

(2)

The first members of the Board shall be those persons who at the date of the coming into operation of this Act were members of the Executive Committee of the Society and shall include the two ex-officio members named in section 8 of this Act, and thereafter those elected at the Council’s Annual General Meeting.

(3)

All members of the Board shall be eligible for reelection.

(4)

The Board shall not be precluded from holding any meeting provided a quorum is present at such meeting or acting in any matter merely by reason of any vacancy in its membership.
