Clause 12

The common seal of the Institute shall not be affixed to any instrument except in the presence of the Chairman, or a member of the Council designated by the Chairman, and the Director, and not until the Chairman, or the member of the Council, as the case may be, and the Director have signed their names to such instrument in token of their presence.
