New section 364A
The principal Act is hereby amended by inserting immediately after section 364 thereof the following new section: —“False reports364A.—
An officer of a corporation who, with intent to deceive, makes or furnishes, or knowingly and wilfully authorises or permits the making or furnishing of, any false or misleading statement or report to —
a director, auditor, member, debenture holder or trustee for debenture holders of the corporation;
in the case of a corporation that is a subsidiary, an auditor of the holding company; or
a prescribed stock exchange in Singapore or elsewhere or an officer thereof,relating to the affairs of the corporation shall be guilty of an offence under this Act and shall be liable on conviction to imprisonment for a term not exceeding two years or to a fine not exceeding five thousand dollars or to both such imprisonment and fine.(2) In subsection (1) of this section “officer” includes a person who at any time has been an officer of the corporation.”.
