New section 332A
The Companies Act is amended by inserting, immediately after section 332, the following section:“Power to refuse registration of a foreign company in certain circumstances332A.—
Notwithstanding anything contained in this Act or any rule of law, the Registrar shall refuse to register the company by registering the documents if he is satisfied that the foreign company is being used or is likely to be used for an unlawful purpose or for purposes prejudicial to public peace, welfare or good order in Singapore or is acting or likely to act against the national security or interest.(2) A foreign company aggrieved by the decision of the Registrar under subsection (1) may, within thirty days of the date of the decision, appeal to the Minister whose decision shall be final.”.
