New section 16A

The Companies Act is amended by inserting, immediately after section 16, the following section:“Power to refuse registration16A.—

(1)

Without prejudice to the powers of the Registrar under subsection (5) of section 11, where a memorandum is delivered for registration under section 16, the Registrar shall not register the memorandum unless he is satisfied that all the requirements of this Act in respect of the registration and of all matters precedent and incidental thereto have been complied with.(2) Notwithstanding anything contained in this Act or any rule of law, the Registrar shall refuse to register the memorandum of a proposed company where he is satisfied that —

(a)

the proposed company is likely to be used for an unlawful purpose or for purposes prejudicial to public peace, welfare or good order in Singapore; or

(b)

it would be contrary to the national security or interest for the proposed company to be registered.(3) Any person aggrieved by the decision of the Registrar under subsection (2) may, within thirty days of the date of the decision, appeal to the Minister whose decision shall be final.”.
