Clause 10

Amendment of section 23

Section 23 of the Companies Act is amended —

(a)

by deleting the word “licence” in the 4th line of subsection (1)(c) and in the 5th line of subsection (2) and substituting in each case the word “approval”; (b)by deleting the words “in writing” in the penultimate line of subsection (1)(c);

(c)

by deleting the words “by licence” in the 6th line of subsection (2);

(d)

by deleting subsection (3) and substituting the following subsection:“(3) Notice of a decision of the Minister under subsection (2) shall be given by the Registrar on behalf of the Minister to the company.”;

(e)

by deleting the words “this section” in subsection (4) and substituting the words “subsection (2)”; and

(f)

by inserting, immediately after subsection (4), the following subsection:“(5) Upon the application of a company and payment of the prescribed fee, the Registrar shall issue to the company a certificate confirming the decision under subsection (2).”.
