Clause 16

Amendment of section 31

Section 31 of the Companies Act is amended —

(a)

by deleting the words “statutory declaration” in subsection (2)(c) and substituting the word “declaration”; (b)by deleting the words “certificate of incorporation of the company” in subsection (3) and substituting the words “notice of incorporation”;

(c)

by inserting, immediately after subsection (3), the following subsection:“(3A) The company shall, within one month of the issue of the notice of incorporation referred to in subsection (3), lodge with the Registrar in the prescribed form a list of persons holding shares in the company.”; and

(d)

by inserting, immediately after subsection (4), the following subsection:“(5) Upon the application of the company and payment of the prescribed fee, the Registrar shall issue to the company a certificate, under his hand and seal, confirming the incorporation of the company with the new status.”.
