New section 184G

The Companies Act is amended by inserting, immediately after section 184F, the following section:“Resolutions of one member companies184G.—

(1)

Notwithstanding anything in this Act, a company that has only one member may pass a resolution by the member recording the resolution and signing the record. (2) If this Act requires information or a document relating to the resolution to be lodged with the Registrar, that requirement is satisfied by lodging the information or document with the resolution that is passed.”.
