Amendment of section 184A
Section 184A of the Companies Act is amended —
(a)
by inserting, immediately after subsection (4), the following subsection:“(4A) A resolution referred to in section 76(9B)(e) is passed by written means if the resolution indicates that it is a resolution referred to in that provision and if it has been formally agreed on any date by all the members of the company who on that date would have the right to vote on that resolution at a general meeting of the company.”; and
(b)
by deleting the words “subsection (3) or (4)” in subsection (6) and substituting the words “subsection (3), (4) or (4A)”.
