Clause 114

Amendment of section 199

Section 199 of the Companies Act is amended —

(a)

by deleting the words “and the directors and managers thereof” in subsection (1);

(b)

by deleting the words “profit and loss accounts and balance‑sheets” in subsections (1), (2A)(b) and (4) and substituting in each case the words “financial statements”; (c)by deleting the word “subsidiary” in subsection (2A) and substituting the words “subsidiary company”; and

(d)

by deleting the words “a fine not exceeding $2,000 or to imprisonment for a term not exceeding 3 months” in subsection (6) and substituting the words “a fine not exceeding $5,000 or to imprisonment for a term not exceeding 12 months”.
