Clause 80

Amendment of section 158

Section 158 of the Companies Act is amended —

(a)

by deleting the words “if the conditions specified in subsection (3) are met” in subsection (1) and substituting the words “if such disclosure is not likely to prejudice the company and is made with the authorisation of the board of directors”; and

(b)

by deleting subsections (3) and (4) and substituting the following subsection:“(3) The authorisation referred to in subsection (1) may be conferred in respect of disclosure of —

(a)

all or any class of information; or

(b)

only such information as may be specified in the authorisation.”.
