Clause 98

Amendment of section 184A

Section 184A of the Companies Act is amended —

(a)

by inserting, immediately after the words “private company” in subsection (1), the words “or an unlisted public company”;

(b)

by inserting, immediately after the word “resolution” in subsection (5)(a)(ii), the words “by way of the member’s signature (or his proxy’s signature if that is allowed), or such other method as the constitution may provide”; and

(c)

by inserting, immediately after subsection (8), the following subsection:“(9) In this section and sections 184B to 184F, “unlisted public company” means a public company the securities of which are not listed for quotation or quoted on a securities exchange in Singapore or any securities exchange outside Singapore.”.
