Clause 70

Amendment of section 175

In the Companies Act, in section 175 —

(a)

replace subsection (1) with —“(1) Subject to this section and section 175A, a company must hold, in addition to any other meeting, a general meeting of the company to be called the “annual general meeting” after the end of each financial year within —

(a)

4 months in the case of a public company that is listed; or

(b)

6 months in the case of any other company.”; and

(b)

in subsection (4), replace “If default is made in holding an annual general meeting” with “Where a company fails to comply with subsection (1)”.
