FIRST SCHEDULESection 7(2)Constitution and Proceedings of AuthorityAppointment of Chairperson and other members1.—
The Chairperson and other members must be appointed by the Minister.(2) The Minister may appoint the Chief Executive to be a member of the Authority.Tenure of office of members
2. A member holds office on such conditions and for such term, as the Minister may determine.Deputy Chairperson3.—
The Minister may appoint any member to be the Deputy Chairperson of the Authority.(2) At any time when the Chairperson is absent or otherwise incapable of acting and no temporary Chairperson has been appointed, the Deputy Chairperson may exercise any of the functions of the Chairperson.Temporary Chairperson
4. The Minister may appoint any member to be a temporary Chairperson during the temporary incapacity from illness or otherwise, or during the temporary absence from Singapore, of the Chairperson.Temporary members
5. The Minister may appoint any person to be a temporary member during the temporary incapacity from illness or otherwise, or during the temporary absence from Singapore, of any member.Revocation of appointment
6. The Minister may, at any time, revoke the appointment of the Chairperson or the Deputy Chairperson or any member without giving any reason.Resignation
7. Any member may resign from his or her appointment at any time by giving written notice to the Minister.Chairperson may delegate functions
8. The Chairperson may, by instrument in writing, authorise any member to exercise any power or perform any function conferred on the Chairperson by or under this Act.Vacation of office
9. The office of a member must be vacated if the member —
has been absent, without leave of the Authority, from 3 consecutive meetings of the Authority; or
becomes in any manner disqualified from membership of the Authority.Filling of vacancies
10. If a member resigns, dies or has his or her appointment revoked or otherwise vacates his or her office before the expiry of the term for which he or she has been appointed, the Minister may appoint another person for the unexpired period of the term of office of the member in whose place the person is appointed.Disqualification from membership
11. No person may be appointed or may continue to hold office as a member if the person —
has a mental disorder and is incapable of managing himself or herself or his or her affairs;
is an undischarged bankrupt or has made any arrangement or composition with his or her creditors; or
is convicted of an offence involving dishonesty, fraud or moral turpitude and has not received a free pardon.Salaries, fees and allowances payable to members
12. There are to be paid to the Chairperson and other members, out of the funds of the Authority, such salaries, fees and allowances as the Minister may determine.Meetings and proceedings of Authority13.—
The Chairperson may summon meetings as often as may be required.(2) The quorum at every meeting of the Authority is one‑third of the total number of members or 3 members, whichever is the higher.(3) A decision at a meeting of the Authority is to be adopted by a simple majority of the members present and voting except that in the case of an equality of votes the Chairperson or member presiding has a casting vote in addition to his or her original vote.(4) The Chairperson or in the Chairperson’s absence the Deputy Chairperson presides at all meetings of the Authority.(5) Where both the Chairperson and the Deputy Chairperson are absent at a meeting, such member as the members present may elect presides at that meeting.(6) Where at least 4 members of the Authority request the Chairperson by written notice signed by them to convene a meeting of the Authority for any purpose specified in the notice, the Chairperson must, within 7 days from the receipt of the notice, convene a meeting for that purpose.(7) The Authority may act despite any vacancy in its membership.(8) Subject to the provisions of this Act and the Public Sector (Governance) Act 2018, the Authority may make rules to regulate its own procedure generally, and, in particular, the holding of meetings, the notice to be given of the meetings, the proceedings at the meetings, the keeping of minutes and the custody, production and inspection of the minutes.Validity of acts
