Amendment of section 123
Section 123 of the Companies Act is amended —
by inserting, immediately after the word “company” in the third line of subsection (1), the words “or in the register of directors, managers and secretaries of a company”;
by inserting, immediately after the word “articles” in the fifth line of subsection (1), the words “or the lodging of any return in the prescribed form containing the particulars required to be specified in the register of directors, managers and secretaries”;
by inserting, immediately after the word “signed” in the eighth line of subsection (1), the words “before a notary public, solicitor or an approved company auditor”; and
by inserting, immediately after subsection (3), the following subsection:“(4) If default is made in complying with this section, the company and every officer of the company shall be guilty of an offence and shall be liable on conviction to a fine not exceeding ten thousand dollars and also to a default penalty.”.
