Clause 38

Section 184C of the Companies Act is amended by deleting subsection (1) and substituting the following subsection:“(1) The directors of a private company who wish to seek agreement to a resolution of the company and for it to be passed by written means shall send to each member, having the right to vote on that resolution at a general meeting, a copy of the text of the resolution.”.
