Amendment of section 186
Section 186 of the Companies Act is amended by deleting subsection (1) and substituting the following subsection:“(1) A copy of —
(a)
every special resolution; and
(b)
every resolution, including any resolution passed under section 175A(1), which effectively binds any class of shareholders whether agreed to by all the members of that class or not,shall, except where otherwise expressly provided by this Act within 14 days after the passing or making thereof, be lodged by the company with the Registrar.”.
