Clause 7
In the Companies Act, in section 181 —
(a)
replace subsection (1B) with —“(1B) Despite anything to the contrary in the constitution of a company, a member may appoint a proxy under this section by depositing with the company an instrument of appointment by electronic means.
(1BA) The electronic means by which an instrument of appointment may be deposited under subsection (1B) must be specified by the company in the notice of meeting.”; and
(b)
in subsection (1C), replace “Except where subsection (1B) applies, a” with “A”.
