Regulation 2

Relief from compliance with content of directors’ statement

Subregulation 1

Subject to sub-paragraph (2), the directors of a company, in any of the following classes of companies, are relieved from compliance with the requirement that the directors’ statement in respect of the company is to contain the information set out in item 9 of the Twelfth Schedule to the Act:

(a)

a private company; (b)a public company (other than a listed company).

Subregulation 2

The relief granted in sub-paragraph (1) is on the condition that the directors declare in the directors’ statement mentioned in that sub‑paragraph that every member of the company has consented to the directors’ statement not containing the information set out in item 9 of the Twelfth Schedule to the Act.

Subregulation 3

In this paragraph, “directors’ statement” has the meaning given by section 209A of the Act.
