Decision of Board at meeting
Subregulation 1
A decision at a meeting of the Board must be decided by a majority of votes and, in the event of an equality of votes, the chairman has the casting vote.
Subregulation 2
A meeting of the Board may be —
by a quorum of the members of the Board assembled together at the time and place appointed for the meeting; or
by means of audio, audiovisual or electronic communication (or a combination of any of those means of communication), but only if —
the secretary has obtained the approval of the chairman for the meeting to be held by such means;
all of the members of the Board who wish to participate in the meeting have access to the technology needed to do so; and
a quorum of the members of the Board can simultaneously communicate with each other throughout the meeting.
Subregulation 3
Where a member of the Board participates in a meeting as permitted under paragraph (2)(b), the member is taken to be present at the meeting of the Board.
Subregulation 4
The secretary must keep minutes of all proceedings of the Board.
