Regulation 2

Application for registration certificate

Subregulation 1

For the purposes of section 4(2) of the Act, an application for a registration certificate —

(a)

must be accompanied by a non‑refundable application fee of $130.80; and

(b)

must include all the following information, where applicable:

(i)

the name of the applicant and whether the applicant is a company, partnership, sole proprietor, or any other type of entity and the type of entity;

(ii)

the place of the applicant’s place of incorporation or formation;

(iii)

the following particulars of the applicant:

(A)

principal place of business;

(B)

registered address;

(C)

email address, Internet website address, phone number and fax number;

(D)

date of incorporation or formation;

(E)

Unique Entity Number or NRIC number (in the case of an individual sole proprietor);

(F)

SSIC classification code of the activity carried on by the applicant;

(iv)

if the applicant is a company, the applicant’s substantial shareholders and the proportion of their shareholdings in the company;

(v)

the name, designation, phone number, email address and residential address of every director, partner, member of the committee of management, chief executive, manager, secretary or other similar officer of the applicant;

(vi)

the name, address, phone number, email address and mailing address of one or more persons in Singapore authorised by the applicant to accept on the applicant’s behalf the registration certificate and the service of any notice under the Act;

(vii)

the details of any insurance, bond, guarantee or any other financial arrangements mentioned in section 4(4)(c) of the Act; (viii)if the applicant does not maintain the prescribed minimum assets mentioned in section 4(4)(d) of the Act, the details of the equivalent guarantee to be provided by the applicant.

Subregulation 2

The Singapore competent national body may —

(a)

require an applicant to produce any documentary evidence to support any information mentioned in paragraph (1)(b);

(b)

in any particular case, dispense with the requirement for an applicant to include in the application for a registration certificate, all or any information mentioned in paragraph (1)(b); and

(c)

in any particular case, waive wholly or in part the application fee mentioned in paragraph (1)(a).

Subregulation 3

In this regulation —

Definition

“SSIC classification” means the Singapore Standard Industrial Classification that is established by the Department of Statistics of the Ministry of Trade and Industry, as updated from time to time;

Definition

“substantial shareholder” means a person who has a substantial shareholding in a company in accordance with section 81 of the Companies Act 1967.
