In construction projects, contractors work with sub-contractors, who may, in turn, work with sub-sub-contractors of their own. Each relationship is generally governed by its own contract. The plaintiffs in this suit were involved in supplying construction equipment and machines to one of the sub-contractors on such a construction project. When concerns arose regarding the sub-contractor’s ability to pay the plaintiffs, the plaintiffs met with the main contractor and the director of the sub-contractor regarding a direct payment arrangement between the main contractor and the plaintiffs. A letter was sent from the sub-contractor thereafter to the main contractor regarding their oral understanding.
