Unless the constitution of a private company or an unlisted public company otherwise provides, a resolution proposed to be passed by written means lapses if it is not passed before the end of the period of 28 days beginning with the date on which the written resolution is circulated to the members of the company.
The agreement to a resolution is ineffective if indicated after the expiry of that period.
