Companies (Filing of Documents) (Amendment No. 3) Regulations 2026

These Regulations are the Companies (Filing of Documents) (Amendment No. 3) Regulations 2026 and come into operation on 20 October 2026.

In the Companies (Filing of Documents) Regulations (Rg 7) (called in these Regulations the principal Regulations), delete regulations 9 and 10.

In the principal Regulations, in regulation 36(1) —

in sub-paragraph (b), delete sub‑paragraphs (vii), (viii) and (ix);

in sub-paragraph (ba)(iii)(C)(CB), delete “and” at the end; and

after sub-paragraph (ba), insert —“(bb)must contain the following confirmations:

in respect of each person specified in the first column of the table in the Second Schedule, a confirmation that the particulars specified against that person in the second column of that table which were last provided by the company to the Registrar using the electronic transaction system are accurate;

if the company is limited by guarantee — a confirmation that the total number of members that the company last provided to the Registrar using the electronic transaction system is accurate; and”.

In the principal Regulations, rename the Schedule as the First Schedule.

In the principal Regulations, in the following provisions, replace “the Schedule” with “the First Schedule”: Regulation 19 Regulation 20 Regulation 24.
