DEALS

WONGPARTNERSHIP LLP ACTED FOR …

Promera in its acquisition of Data Clean Asia

WongPartnership acted for Promera in its acquisition of Data Clean Asia (DCA), a leading technical data centre services provider in Singapore. This transaction marks Promera’s entry into the Asia-Pacific region and establishes the company’s first operations outside North America, supporting its broader global expansion strategy focused on scaling services for global data centre operators.

Based in Los Angeles, Promera is a portfolio company of Angeles Equity Partners, LLC, a private investment firm focused on manufacturing, industrial services, and specialty distribution businesses. The deal underscores Promera’s strategy to build a global data centre services platform by adding DCA’s capabilities in containment design, manufacturing, and installation to complement its existing contamination control and critical environment services. DCA serves a blue-chip customer base that includes hyperscale operators, colocation providers and enterprise data centre clients across Southeast Asia.

Our Partners in our Mergers & Acquisitions practice, Ng Wai King, Kyle Lee, Rachel Tan and Chiang Yuan Bo, led the Firm’s team in this transaction, together with Partners from our Corporate Real Estate practice, Jerry

JUDGMENTS | GAMBLING DEBTS

Enforcement of Foreign Gambling Debt Judgments: Public Policy Bar to Registration in

Singapore

In Venetian Macau Ltd v Hu Yangning [2026] SGHC 180, the General Division of the High Court of

Singapore (High Court) held that a foreign judgment founded on a gambling debt cannot be registered and enforced in Singapore under the Reciprocal Enforcement of Foreign Judgments Act 1959 (REFJA).

To allow enforcement would be contrary to Singapore’s public policy against enforcing gambling debts in courts, as embodied in section 5(2) of the Civil Law Act 1909.

The High Court also held that section 5(1)(a)(iii) of the REFJA requires that actual notice of the foreign proceedings be received by the judgment debtor in sufficient time to enable the judgment debtor to defend the foreign proceedings, notwithstanding that process may have been duly served in accordance with the law of the country of the original court. If actual notice was not received in sufficient time, and the defendant did not appear, the registration of the foreign judgment would be set aside.

Works (Seventh Edition 2014) (PSSCOC) is final and binding. In this case, the SO issued a decision within the mandatory 30-day time limit, but that decision did not answer the question referred to him. His later clarification did answer the question, but was invalid because it was given
