This appeal concerned the sentencing of a director convicted of breaching his duty to act with reasonable diligence under s 157(1) of the Companies Act (Cap 50, 2006 Rev Ed) (the “CA”). The respondent, Mr Zheng Jia (the “Respondent”), operated a business of incorporating companies in Singapore primarily at the behest of foreign clients. As part of the related services offered to his clients, the Respondent would register himself as the locally resident director of those companies and also assisted in opening bank accounts in their names. Beyond that, the Respondent exercised no control or supervision over the companies’ affairs whatsoever. Indeed, he was essentially ignorant of such matters.
