Regulation 16

Procedure for general meetings of members

Subregulation 1

The membership policy must provide for —

(a)

general meetings of members; and

(b)

the procedure for general meetings of members, which must comply with this regulation.

Subregulation 2

The procedure must require a general meeting of members to be called at least once every financial year.

Subregulation 3

The procedure —

(a)

must provide for the right of a member to call for a general meeting of members; and

(b)

may impose conditions on the exercise of the right (for example, by requiring notice or by providing that the right may only be exercised by members who collectively have a specified proportion of the total voting rights).

Subregulation 4

The procedure must specify the notice required for a proposed resolution at a general meeting of members.

Subregulation 5

The procedure must specify the quorum for a general meeting of members.

Subregulation 6

The procedure must allow a member to attend and vote in a general meeting of members by remote means, and may require a member to give notice for this purpose.

Subregulation 7

The procedure must provide for every member to have the right to vote at a general meeting of members, and may provide for different voting rights for different classes of members.

Subregulation 8

The procedure must provide for the method of voting at general meetings of members, and must in particular provide for voting by proxy (which may be subject to limits).

Subregulation 9

The procedure must provide that it may be amended by a general meeting of members and not otherwise.

Subregulation 10

To avoid doubt, the procedure may provide for any other matter that is necessary or expedient for the holding of general meetings of members.
