Regulation 11

Duties of trustee-manager

The trustee-manager of a registered business trust shall, in exercising its powers and carrying out its duties as trustee-manager of the registered business trust —

(a)

treat unitholders of the registered business trust who hold units in the same class in the registered business trust fairly and equally and unitholders who hold units in different classes in the registered business trust fairly;

(b)

ensure that all payments out of the trust property of the registered business trust are made in accordance with the Act and the trust deed of the registered business trust;

(c)

report to the Authority any contravention of the Act or these Regulations by any other person that —

(i)

relates to the registered business trust; and

(ii)

has had, has or is likely to have, a materially adverse effect on the interests of all the unitholders, or any class of unitholders, of the registered business trust as a whole,as soon as practicable after the trustee-manager becomes aware of the contravention;

(d)

ensure that the trust property of the registered business trust is properly accounted for; and

(e)

ensure that the trust property of the registered business trust is kept distinct from the property of the trustee-manager held in its own capacity.
