11. Vacation of office of director

The office of director shall be vacated if the director —

becomes of unsound mind;

becomes a bankrupt or suspends payment to, or makes any arrangement or composition with, his creditors;

has been absent for more than 3 consecutive meetings of the directors without permission of the directors;

resigns from his office; or

is convicted of an offence involving dishonesty or fraud or moral turpitude. [10
